The following excerpts were included in a communication sent to Baker Hughes employees on April 27, 2016.

Although we have taken significant actions to reduce our costs during the downturn, we continue to retain costs in our operating margins to comply with the merger agreement. Additionally, the unique circumstances in which we are operating limit our ability to consider and take action on a broader range of measures that would align the company more closely to market conditions.

Against this backdrop, I know the pending combination with Halliburton remains top of mind, given the lawsuit by the U.S. Department of Justice to block the transaction earlier this month. We will continue to keep you updated on developments as appropriate.
